These Terms of Service ("Terms") govern your access to and use of the services provided by WorldBridge Assist, Inc. ("WorldBridge," "we," "our," or "us"). Please read these Terms carefully before using our website or services.

WorldBridge Assist provides global remote staffing, AI workforce solutions, and related advisory services. Our services include but are not limited to:

• Remote talent sourcing and placement (Human Workforce)
• AI agent deployment and management (AI Workforce)
• Employer of Record and payroll management services
• Workforce consulting and business advisory

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

3. Accounts & Registration

Some of our services require account registration. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized account access
• Take responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we determine, in our sole discretion, are being used fraudulently.

4. Acceptable Use

You agree not to use our services to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of WorldBridge or any third party
• Transmit harmful, offensive, or unlawful content
• Engage in deceptive, fraudulent, or misleading practices
• Interfere with or disrupt our services, servers, or networks
• Attempt to gain unauthorized access to any part of our systems
• Use automated tools to scrape, crawl, or harvest data from our website

5. Payment & Billing

Service fees are as set forth in your signed agreement or service order. Unless otherwise agreed:

• Invoices are due within 30 days of issuance
• Late payments may incur interest at 1.5% per month
• All fees are non-refundable except as explicitly stated in your service agreement
• We reserve the right to suspend services for non-payment after written notice

Pricing is subject to change with 30 days written notice for existing clients.

6. Intellectual Property

All content, materials, and technology on worldbridgeassist.com — including logos, text, graphics, software, and proprietary AI systems — are owned by WorldBridge Assist, Inc. and protected by intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without express written permission. The WorldBridge name, logo, and associated marks are registered trademarks.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed in connection with the services. This includes business data, personnel information, pricing, and technical specifications. Confidentiality obligations survive termination of the agreement for a period of three (3) years.

8. Disclaimers

Our services are provided "as is" and "as available" without warranty of any kind, express or implied. WorldBridge does not warrant that:

• Services will be uninterrupted, timely, or error-free
• Results obtained from using our services will meet your expectations
• Any specific candidate placement or AI deployment outcome is guaranteed

Specific performance commitments, if any, will be set out in your signed service agreement.

9. Limitation of Liability

To the maximum extent permitted by law, WorldBridge Assist shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

Our total cumulative liability for any claim arising from these Terms or our services shall not exceed the total fees paid by you to WorldBridge in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless WorldBridge Assist and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

Either party may terminate the service relationship with 30 days written notice, unless otherwise specified in a service agreement. WorldBridge may terminate immediately for material breach, non-payment, or conduct that violates these Terms.

Upon termination, your right to access our services ceases. Provisions relating to intellectual property, confidentiality, disclaimers, and limitation of liability survive termination.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of [State], United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in [Jurisdiction].
